These Terms of Redemption (“Agreement”) govern all transactions in which you (“Account Holder” or “you”) redeem Gift Cards with Insomnia Technologies LLC (“Insomnia,” “we,” “us,” or “our”), located at 30 N GOULD ST STE 37194, SHERIDAN, WY 82801. This Agreement is IN ADDITION to, and does not replace or supersede, our Terms of Use or any other policies we reference (e.g., Privacy Policy, Refund Policy, Financial Disclosure, Affiliate Disclosure). If any provision of these Terms of Redemption directly conflicts with the Terms of Use, the conflicting provision in this Agreement will apply only to the extent necessary to supplement or clarify your rights and obligations with respect to Gift Card redemptions.

By redeeming a Gift Card with us—whether via phone or through any authorized electronic method—you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as our Terms of Use and any other applicable policy. If you do not agree to all terms in this Agreement, you may not redeem Gift Cards through us.

Gift Card Redemption Process

You may submit your Gift Card information via telephone or any other electronic method we authorize. Upon submission:

• We will verify the validity and balance of the Gift Card through our payment processors.

• Once verified, we will remit payment to you, less any applicable fees, commissions, or deductions as outlined below.

• We do not resell Gift Cards or hold them for future use; each redemption is processed and closed as a unique transaction.

Fees and Deductions

We rely on external payment processors, which may charge fees for verifying, transferring, or processing payments. In addition, we may charge commissions or administrative fees for facilitating your redemption. You agree that any such fees will be deducted from the value of the Gift Card prior to sending payment to you. The specific amount of fees and deductions may vary based on the type of Gift Card, the chosen payment method, and any third-party costs. During your redemption process, or governed by prior agreement, you will be quoted your fees and commissions associated with the transaction. Your payment will be the amount available on the gift card minus all applicable fees and commissions.

Taxes

Any applicable taxes or government fees imposed on the redemption or resulting payment shall be your sole responsibility. We will not pay taxes on your behalf. Where legally permitted, we may deduct or withhold any required amounts before remitting the balance to you.

No Refunds/Returns

Once you submit a Gift Card for redemption, the transaction is considered final. If the Gift Card issuer or payment processor declines to process the Gift Card for any reason, no funds will be payable to you, and the Gift Card cannot be “returned” or “refunded.” For more information on any general return or refund rights (if applicable), refer to our Refund Policy.

Gift Card Issuer’s Right to Decline

You acknowledge that the issuance of payment is contingent upon the Gift Card issuer’s acceptance of the transaction. If the issuer declines a Gift Card redemption, we bear no liability. Please refer to the “Gift Card Issuer’s Right to Decline” section in our Terms of Use for additional details. This Agreement supplements that disclaimer and confirms that you assume the risk of any issuer refusal.

Warranties and Representations

By submitting Gift Card information to us, you expressly warrant that:

• You are the lawful and sole owner of the Gift Card, obtained through lawful means.

• You have authority and capacity to provide the Gift Card for redemption.

• The Gift Card information provided is complete, accurate, and not fraudulent.

• You understand and agree that we may request additional information or documentation to verify compliance with our Know Your Customer (KYC) and Anti-Money Laundering (AML) policies.

Disclaimer of Liability

In addition to the disclaimers stated in our Terms of Use, you acknowledge and agree that:

• All services are provided on an “AS IS” basis.

• We do not guarantee uninterrupted or error-free operation of our phone or electronic platforms.

• We are not liable for any decline or failure by the Gift Card issuer or by our payment processors.

This disclaimer does not limit any disclaimers already contained in the Terms of Use but serves to emphasize and supplement them for Gift Card redemption transactions.

Limitation of Liability

Our liability for any claims arising out of or relating to Gift Card redemptions is subject to the limitations set forth in the Terms of Use. In addition, in the event of a direct conflict, these Terms of Redemption further clarify that our maximum liability to you will not exceed the net amount actually paid to you for the Gift Card in question, after fees and deductions.

Indemnification

Your indemnification obligations under the Terms of Use apply fully to all Gift Card redemptions. You agree to indemnify, defend, and hold harmless Insomnia, its affiliates, employees, agents, and officers from any claims arising out of your breach of this Agreement, your violation of any law or right of a third party, or your fraudulent or unlawful acquisition of any Gift Card.

Unlawful Activities and Account Suspension

If we suspect that your Gift Card(s) or payment request is unlawful or part of any fraudulent scheme:

• We may suspend or terminate your ability to redeem Gift Cards.

• We may withhold any pending payouts as liquidated damages.

• We may notify relevant authorities and cooperate fully with any investigation.

All such measures are IN ADDITION to those referenced in our Terms of Use regarding unlawful activities and account termination.

Severability

If any provision of these Terms of Redemption is determined to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision will be construed to give the maximum effect to its original intent in compliance with the law.

By proceeding with any Gift Card redemption, you confirm that you have read and understood these Terms of Redemption, our Terms of Use, and all other applicable policies. These Terms of Redemption are subject to change at our discretion; continued use of our services following such changes constitutes your acceptance of the updated Agreement.
